These Terms and Conditions govern your use of this website and, where applicable, the engagement of legal services from tabulaxxes. "You", "User", "Client" —
Any individual, company, or entity accessing this website or engaging our services.
"Services" —
The legal and advisory services described on this website and provided under a written engagement letter.
"Website" —

"Engagement Letter" —
The written agreement between the Firm and a Client setting out the scope, terms, and fees for a specific matter.
"Content" —
All text, documents, materials, and information published on this website.

02 — Acceptance of Terms

Use of this website constitutes acceptance of these Terms and Conditions. The Firm's legal services are provided only to persons who are 18 years of age or older and who have the legal capacity to enter into binding agreements under Malaysian law. By engaging our services, you confirm that you meet these requirements.

For corporate clients, the individual providing instructions warrants that they have the authority to act on behalf of the entity concerned.

03 — Services

tabulaxxes provides banking and finance law advisory services to individuals, corporate borrowers, financial institutions, and fintech companies operating in Malaysia. Our services include:

  • Loan documentation review and personal finance advisory for individuals and small businesses.
  • Corporate financing and transaction documentation for syndicated facilities, project financings, and term loans.
  • Banking regulatory and programme advisory for financial institutions, fintechs, and ongoing financing programmes.

04 — Engagement of Services

A client relationship is formed only when both parties have signed an Engagement Letter setting out the scope of the matter, the applicable fee, and any special terms. No submission of a contact form or exchange of preliminary correspondence creates an engagement or solicitor-client relationship.

Before accepting an instruction, the Firm will conduct conflict checks and identity verification in accordance with its obligations under Malaysian anti-money laundering legislation. The Firm reserves the right to decline any instruction at its discretion, without providing reasons.

Fees are payable in Malaysian Ringgit (MYR). The applicable fee schedule and payment terms will be confirmed in the Engagement Letter. Disbursements, government fees, and filing charges are charged separately at cost. Payment is due within the period stated in the Engagement Letter. Late payments may attract interest at the rate specified therein.

06 — Professional Conduct

tabulaxxes's lawyers are admitted to the Malaysian Bar and are bound by the Legal Profession (Practice and Etiquette) Rules 1978, the Bar Council Rulings, and all applicable professional codes. Nothing in these Terms displaces or overrides those obligations.

Clients are expected to provide accurate and complete instructions, to cooperate with reasonable requests for information and documents, and to notify the Firm promptly of any material changes to circumstances relevant to the matter.

07 — Confidentiality

The Firm treats all client information as confidential in accordance with its professional obligations. We will not disclose client information to third parties except as required by law, with client consent, or where necessary to carry out the engagement (for example, sharing documents with a counterparty's solicitors in a transaction).

Clients are reminded that electronic communication carries inherent risks. The Firm uses reasonable measures to protect the security of digital correspondence, but cannot warrant the security of communications in transit.

08 — Intellectual Property

All content on this website — including text, design, and structure — is the intellectual property of tabulaxxes or its licensors and is protected under Malaysian copyright law. You may view and print content for personal, non-commercial reference only. No part of this website may be reproduced, adapted, or distributed without prior written consent.

Work product prepared for a client under an Engagement Letter remains the Firm's intellectual property until fees have been settled in full, at which point a non-exclusive licence to use the work product for the purposes of the relevant matter is granted to the client.

09 — Website Use

You agree not to use this website in any manner that:

  • Violates any applicable Malaysian law or regulation.
  • Introduces malware, viruses, or other harmful code.
  • Interferes with the operation of the website or its servers.
  • Misrepresents your identity or affiliation.
  • Harvests contact information from the website for unsolicited communications.

The Firm reserves the right to restrict or terminate access to the website for users who breach these conditions.

11 — Limitation of Liability

To the fullest extent permitted by Malaysian law, the Firm's liability for any claim arising out of the use of this website or the provision of legal services shall be limited to the fees paid by the client for the specific matter giving rise to the claim.

The Firm shall not be liable for indirect, consequential, or special losses, including loss of profit, loss of data, or reputational harm, whether or not such losses were foreseeable at the time of the engagement.

Nothing in these Terms limits liability for fraud, wilful default, or any other matter which cannot be excluded under applicable law.

12 — Termination

Either party may terminate an engagement by written notice, subject to the terms set out in the Engagement Letter. Termination does not affect accrued rights or fees due for work completed prior to termination. The Firm may, in appropriate circumstances required by professional rules, withdraw from a matter with notice.

13 — Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia, unless the parties have agreed in writing to an alternative dispute resolution mechanism.

Where a dispute arises, the parties agree to first attempt to resolve it through direct communication in good faith before commencing formal proceedings.

14 — Changes to Terms

The Firm may update these Terms from time to time. Revised Terms will be posted on this website with an updated effective date. Continued use of the website following any revision constitutes acceptance. For matters under an existing Engagement Letter, the terms in that letter govern the engagement and will not be affected by subsequent revisions to these Terms without the client's agreement.
